Terms of Sale

1. Who these terms apply to

These Terms of Sale govern wholesale and OEM orders placed with DeckDorm for TCG card storage and accessories. They apply between businesses: we sell to distributors, retailers, card shops and online sellers, not to consumers. By placing an order you confirm that you are buying for business purposes.

Seller details: [COMPANY LEGAL NAME], [REGISTERED ADDRESS], business registration no. [REGISTRATION NUMBER]. Contact: sales01@deckdorm.com.

2. Quotations

Quotations are prepared from the specification you send us and are valid for 30 days unless stated otherwise. They are subject to material prices and exchange rates at the time of order. If your specification or artwork changes, we will re-quote.

3. Orders and acceptance

An order becomes binding when you sign and return our proforma invoice (PI) and we confirm it in writing. The PI records the product, artwork, quantity, unit price, Incoterms, lead time and payment schedule, and is the reference document for the order. Where the PI and these terms differ, the PI prevails.

4. Prices, currency and Incoterms

Prices are quoted in US dollars unless agreed otherwise. Our standard term is FOB Shenzhen (Yantian / Shekou). CIF, CPT, DDP and other terms can be arranged on request and will be stated in the PI. Unless DDP is expressly agreed, prices exclude destination duties, taxes and import clearance.

5. Minimum order quantity and tooling

Minimum order quantity is 100 pieces per SKU, per colour. Custom structures, moulds, plates and dies are quoted separately. Where an order reaches the volume stated in the quotation, tooling may be provided free of charge, as recorded in the PI.

6. Samples

Pre-production samples are normally ready within 3 days of artwork approval. Sample and courier charges are quoted up front and are refundable against your first bulk order where the PI says so. Bulk production begins only after you approve the sample in writing.

7. Payment

Unless the PI states otherwise: 30% deposit on order confirmation and 70% balance before shipment, by T/T bank transfer to our company account. We do not accept payment to personal accounts. Bank charges are the sender’s responsibility. Goods remain our property until the balance is received in full.

8. Lead time and delays

Lead time runs from the later of (a) receipt of the deposit and (b) written approval of the artwork and sample: normally 25–30 days for bulk production. We will tell you promptly if a delay is likely. Delays caused by events outside our reasonable control are dealt with under clause 14.

9. Shipping, risk and title

Shipping is arranged on the Incoterms stated in the PI. Under FOB Shenzhen, risk passes to you when the goods are loaded on board at the named port. Title passes when we have received payment in full. Unless DDP is agreed, you are responsible for import clearance, duties and destination handling.

10. Inspection and quality control

Every order is inspected before shipment to ISO 2859-1 AQL 2.5, and you receive the inspection report before the balance payment. Key structures are tested to 5,000 open/close cycles before they are released for production. Material and compliance reports — including REACH, RoHS and CPSIA documentation — are available on request.

11. Defects, shortages and claims

Please inspect the goods on arrival. Claims for shortage, damage or defects must reach us in writing within 14 days of delivery, with photographs, carton numbers and the relevant shipping documents. Where a claim is accepted we will, at our option, replace the affected goods free of charge, issue a credit note, or refund the affected amount. This clause does not cover damage occurring after delivery, misuse, or normal wear.

12. OEM, branding and intellectual property

Where you supply artwork, logos or designs, you confirm that you hold the rights to use them and that they do not infringe the rights of anyone else, and you indemnify us against claims arising from the material you supply. Tooling, plates and dies paid for by you are kept for your use, and we will not apply your artwork to any other customer’s goods.

13. Confidentiality

We keep your specifications, prices and business information confidential and use them only to fulfil your orders. We ask you to treat our quotations and costings the same way.

14. Force majeure

We are not liable for delay or failure caused by events outside our reasonable control, including natural events, epidemics, war, sanctions, port closures, strikes, carrier failures, sudden export restrictions or government action. If such an event continues for more than 60 days, either party may cancel the affected part of the order, and amounts paid for goods not produced will be refunded.

15. Limitation of liability

Our total liability in connection with any order is limited to the amount you paid for that order. We are not liable for indirect or consequential loss, including lost profit, lost sales or loss of goodwill. Nothing in these terms limits liability that cannot lawfully be limited.

16. Governing law and dispute resolution

These terms and any order are governed by the laws of the People’s Republic of China. The parties will first attempt to resolve any dispute through good-faith negotiation. If that fails, the dispute will be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration under its rules then in force. The arbitral award is final and binding on both parties.

17. Changes to these terms

We may update these terms from time to time. The version published on this page applies to orders placed after its “last updated” date. For an order already confirmed, the terms recorded in its PI apply.
